Mmm.. looks like you are doing everything The Right Way(tm).

So, the mkfs thinks it is running out of memory,
which is very odd given the amount of swap space
we allocate for its use.

If I can find my 32GB CF card, I'll give this a try
on that later today in a Mk2 12MB unit. And then perhaps
again with a larger hard disk.
